Terms & Conditions

1. Scope

These terms apply exclusively to business-to-business transactions. Consumers within the meaning of Directive 2011/83/EU are not eligible to purchase.

2. Offers and orders

All quotations are non-binding until confirmed in writing. Orders are accepted subject to stock availability and satisfactory KYC verification.

3. Prices and payment

Prices are in EUR, exclusive of VAT and shipping. Payment terms are stated on each pro-forma invoice. Late payments accrue statutory interest per EU Directive 2011/7.

4. Delivery and Incoterms

Deliveries follow Incoterms 2020 as specified per order (typically FCA Vilnius or DAP destination). Risk transfers upon handover to the carrier.

5. Warranty

Manufacturer warranties apply. Visible defects must be reported within 5 business days of receipt; hidden defects within 30 days.

6. Retention of title

Goods remain the property of European Solutions until full payment is received.

7. Liability

Liability is limited to direct damages up to the value of the affected order, save for intent or gross negligence.

8. Compliance

Parties comply with applicable EU sanctions, export controls and anti-bribery laws.

9. Governing law and jurisdiction

Lithuanian law applies. Exclusive jurisdiction lies with the courts of Vilnius, Lithuania.
